The offer consists of both a fresh issue and an offer for sale component. The fresh issue will include up to 35,00,000 equity shares aggregating up to ₹ [-] crores. The offer for sale portion includes up to 9,00,000 equity shares aggregating up to ₹ [-] crores. The total number of shares is up to 44,00,000 while the aggregate amount is yet to be finalised.

Novus Loyalty offers both on-premises with infrastructure and SaaS (software as a service) models along with AI-powered analytics to its clients. The company earns its revenue by offering loyalty and rewards solutions tailored for industries such as Fintech, E-commerce, Software, Finance, Banking, FMCG and Real Estate.

(Restated Data) Novus Loyalty’s Total Income for FY25 was ₹104.63 crores, whereas in FY24 and FY23 it was ₹73.61 crores and ₹59.61 crores, respectively.

The Profit After Tax for FY25 was ₹3.58 crores, whereas in FY24 and FY23 it was ₹2.96 crores and ₹0.55 crores, respectively.

Their EBITDA for FY25 was ₹5.69 crores, whereas in FY24 and FY23 it was ₹4.82 crores and ₹2.27 crores, respectively.

The company operates in both the domestic and international markets. In the domestic markets, their customer base is spread across states, namely Telangana, Haryana, Uttar Pradesh, Maharashtra, Punjab, Tamil Nadu, Rajasthan, Delhi and Karnataka. In the international markets, they are spread across the globe with presence in countries including the UAE, the USA, Australia and Puerto Rico.

As of 31 March 2025, the company’s Total Income, Profit After Tax, and EBITDA were ₹104.626 crores, ₹3.585 crores, and ₹5.687 crores, respectively.
