ITC Hotels Limited was incorporated as a Public Limited Company and a Certificate of Incorporation dated July 28, 2023 was issued by the Registrar of Companies, West Bengal. ITC Hotels comprises a portfolio of 150 hotels with more than 14,200 rooms. The Company Promoter is ITC Limited.Pursuant to the Scheme of Arrangement effective January 1, 2025, the Demerged Undertaking comprising the Hotels Business of ITC Limited was demerged from ITC Limited into the Company as a going concern basis and in consideration, the Company issued 2,08,11,71,040 Equity Shares of Re 1/ each to the shareholders of ITC Limited. Hotels Business represents one of Indias preeminent hospitality chains, embodying the essence of Indian hospitality and sustainability. The Company is engaged in the business of, inter alia, owning, licensing, operating and managing hotels and resorts, directly and through its Subsidiaries, Associates and Joint Venture. Company has expanded into a multi location hospitality enterprise with operations across India, Sri Lanka and Nepal. The Companys brand portfolio includes ITC Hotels and Mementos in the luxury segment Welcomhotel in the upper upscale to upscale category Storii in the boutique space and Fortune Hotels and WelcomHeritage serving the midscale upscale, and heritage segments. Company launched the Epiq Collection for the upcoming projects in Puri, Tirupati, and Jaipur in FY26. 13 new hotels opened during the FY26. The luxury portfolio expanded during the year with the signing of an ITC Hotels branded hotel in Patna, one of the emerging trading and business destinations. New Fortune properties opened in Kochi and Siliguri, strengthening presence across commercial, leisure, and transit hubs.Company completed renovation of room inventory at its luxury hotels at Chennai, Bengaluru, Kolkata, and Delhi in 2026. Further, Cubbon Pavillion at ITC Gardenia, Madras Pavillion at ITC Grand Chola, and Aravali Pavillion at ITC Grand Bharat were completely renovated during the year. In order to serve the growing demand for banqueting events, a 5800 sqft. banquet space at Sheraton New Delhi and 2600 sqft. at ITC Grand Chola were launched during the year. The iconic lobby of ITC Maurya at New Delhi also underwent a renovation and upgradation during the year. In FY26, three hotels with 246 keys were launched, including its first hotel in Kerala, namely Fortune Airport Road, Kochi. The company has also signed 9 new alliances during the year and as on 31st March, 2026, it has 86 hotels with 6624 keys across India and Nepal. Of these, 59 hotels with 4417 keys are currently operational in FY26.

For the full year FY2026–2027, revenue reached ₹4331.34 crore and profit touched at ₹809.39 crore. As of Jun '26, ITC Hotels’s market capitalisation stood at ₹34,237.88 crores. Shareholding as of Jun '26 shows promoters holding 39.8%, with FIIs at 11.6%, DIIs at 24%, and public at 24.5%.
