HB Stockholdings Limited was initially incorporated under the name of HB Portfolio Leasing Limited on 30th July 1985 with the main object of providing all fund and non fund based financial services. Later the company made a foray in real estate development. The name of the company was changed on 19th February 1997 to the present name of HB Stockholdings Limited. Pursuant to a Scheme of Arrangement sanctioned by the Delhi High Court vide its orders dated 29/10/1996 and 28/11/1996, the companys operations were restructured by demerger of the Real Estate Division to HB Estate Developers Limited and the Merchant and Investment Banking Division to HB Portfolio Limited. The company presently carries on the activities of investment in securities (Sale and Purchase of Securities) and is a registered with Reserve Bank of India as a Non Banking Financial Company.The Company commenced operations in Aug.95 and undertook activities of leasing and investments in securities. At present, its operations are largely confined to investments, share shoppes, merchant banking and leasing. The company operates from offices located in New Delhi and Bombay. HBSL went public in Dec.94 with 14% unsecured fully convertible debentures of Rs 65 each with one optional detachable tradable warrant for each debenture to meet the capital expenditure for additional infrastructure facilities, repayment of secured loans and to augment longterm resources. HBSL is a SEBIregistered categoryI merchant banker. The companys OTCEI membership is being transferred to HB Prima Capital the wholly owned subsidiary of the company.In the year 2000, though the capital market remained volatile, the company with its endeavour for consolidated and restructuring of its investment protfolio managed to remain unaffected of the fluctuations in the stock market. During the year it is expected barring unforeseen circumstances, to perform better and envisage the accumalated losses of the company may be recovered.HB Prima Capital Limited ceased to be a subsidiary Company w. e. f. June 25, 2013.The Honble National Company Law Tribunal (NCLT), at Chandigarh vide its Order dated 22 December, 2017 sanctioned the Scheme of Arrangement between the Company, HB Portfolio Limited (HBPL) and HB Estate Developers Limited (HBEDL) and their respective Shareholders and Creditors, which came into effect on 30 January, 2018. The Company underwent a major restructuring through a Scheme of Arrangement sanctioned by the Delhi High Court in October and November, 1996. This restructuring demerged its Real Estate Division to HB Estate Developers Limited and its Merchant and Investment Banking Division to HB Portfolio Limited. At present, the Company engages in prioritising securities investments, specializing in the sale and purchase of securities, and is registered as a NonBanking Financial Company (NBFC) with the Reserve Bank of India. The Company is offering a wide range of financial products and services including personal loans, commercial vehicle finance, housing loans, infrastructure finance, gold loans, microfinance, money transfer, insurance, education funding, and customized finance solutions.

For the full year FY2025–2026, revenue reached ₹1.55 crore and profit touched at ₹-12.01 crore.
