SKF India (Industrial) Limited was incorporated on December 17, 2024 as a wholly owned subsidiary of SKF India Limited with the Registrar of Companies, Pune. Initially, the Company was incorporated to empower global enterprises through advanced, futureready technologies designed to address the needs of the next decade. The Company is an affiliate of the Swedenbased SKF Group, which was founded in 1907. SKF Group started its operations in India in 1923 and it is primarily engaged in the manufacturing and supply of highquality bearings and their components in India, serving diverse industrial and automotive applications.Later in FY 202425, the Company was established for carrying on the Industrial business, as part of SKF Groups global separation ofits Automotive and Industrial businesses. SKF India Limited entered a new phase of value creation by demerging its Industrial business in FY 202425.The Scheme of Arrangement between SKF India Limited and the Company and their respective shareholders and creditors was implement in FY 202425. Pursuant to the Scheme, the Automotive and Industrial Businesses of SKF India Limited was demerged/ transferred into the Company, making the Scheme effective from October 1, 2025. Post effectiveness of the Scheme, the Company focused on industrial applications across railways, aerospace, renewable energy, and advanced machinery.In terms of consideration, 4,94,37,963 equity shares having the face value of Rs 10 each have been allotted by the Company to the shareholders of SKF India Limited on October 17, 2025, pursuant to the Scheme of Arrangement for Demerger.

As of Jun '26, SKF India (Industrial)’s market capitalisation stood at ₹14,602.99 crores. Shareholding as of Jun '26 shows promoters holding 52.6%, with FIIs at 5.1%, DIIs at 29.2%, and public at 13.2%.
