Mahalaxmi Fabric Mills Limited was incorporated in India (Ahmedabad, Gujarat) as a Private Company with the name and style of Sonnet Colours Pvt Ltd pursuant to a Certificate of Incorporation dated April 04, 1991, issued by the Registrar of Companies, Ahmedabad and subsequently the Company name had been changed to Mahalaxmi Fabric Mills Private Limited effective from 19th October, 2022. Initially Company was engaged, inter alia, in the business of Colours and Chemicals untill FY 200304. Thereafter, the business discontinued, which subsequently changed its object clause from Colour chemical business to the Textiles business effective from September 23, 2022. Since then, it has engaged in manufacturing and marketing of products falling under the Traditional Textiles Division. In 2024, the Scheme of Arrangement for Demerger between Mahalaxmi Rubtech Limited (MRT) the Company and Globale Tessile Private Limited (GTPL) was implemented, where, the Traditional Textile Processing Division at Narol, Ahmedabad and Wind Power Division of Mahalaxmi Rubtech Limited along with existing investment of Mahalaxmi Rubtech Limited in its wholly owned subsidiary company namely Mahalaxmi Exports Private Limited was transferred to the Company with effect from April 1, 2024. In terms of consideration, the Company issued and allotted 1,06,20,275 new Equity Shares of Rs. 10/ each to the Shareholders of Mahalaxmi Rubtech Limited in the ratio of 1 new Equity Share, fully Paidup, of the Company for every 1 Equity Shares held by them in Mahalaxmi Rubtech Limited. After effectiveness of the Scheme, Mahalaxmi Exports Private Limited (MEPL) ceased to be Wholly Owned Subsidiary of Mahalaxmi Rubtech Limited and became Wholly Owned Subsidiary of the Company from 1st April, 2024.

For the full year FY2025–2026, revenue reached ₹155.19 crore and profit touched at ₹7.91 crore. As of Mar '26, Mahalaxmi Fabric Mills’s market capitalisation stood at ₹26.13 crores. Shareholding as of Mar '26 shows promoters holding 64.8%, with FIIs at 0.8%, DIIs at 0.1%, and public at 34.3%.
