IRFC Company background

Founded in: 1986

Indian Railway Finance Corporation Limited (IRFC) was incorporated in December 1986 as the dedicated financing arm of Indian Railways. The company was established by the Government of India, with its registered office located in New Delhi. IRFC is listed on both the National Stock Exchange (IRFC) and Bombay Stock Exchange (543257). It operates as a wholly owned government company under the administrative control of the Ministry of Railways. The core business of IRFC revolves around mobilising funds from domestic and international markets to finance the acquisition of rolling stock assets, project assets, and lending to other entities in the railway ecosystem, thereby supporting the modernisation and expansion of Indian Railways.

IRFC’s business model is straightforward yet highly impactful in the context of India’s infrastructure growth. The company’s primary revenue is generated through leasing operations, where it borrows funds at competitive rates and lends or leases those funds to Indian Railways and its subsidiaries. The two key business verticals are:

  • Leasing of Rolling Stock and Assets: IRFC finances the procurement of locomotives, coaches, wagons, and other rolling stock, which are then leased to Indian Railways on a long-term basis. The company also finances railway project assets and infrastructure.
  • Project Lending and Borrowings: In addition to direct leasing, IRFC extends loans to entities under the Ministry of Railways for specific projects, including electrification, gauge conversion, and network expansion. The revenue model is based on earning interest income from long-term leases and project loans. The predictable, low-risk structure is reinforced by the government’s sovereign guarantee and assured lease payments from Indian Railways.
  • 1986: Incorporated as the financing arm of Indian Railways to mobilise low-cost funds.
  • 1987: Raised its first funds from domestic markets and commenced operations.
  • 1993: Forayed into international capital markets through Euro bond issues.
  • 2005: Cumulative funding to Indian Railways crossed ₹50,000 crore.
  • 2012: IRFC was the first public sector NBFC to issue tax-free bonds in India.
  • 2014: Played a crucial role in funding India’s Dedicated Freight Corridor project.
  • 2020: Filed for and received approval for its Initial Public Offering (IPO) from SEBI.
  • 2021: Successfully listed on NSE and BSE through an oversubscribed IPO.
  • 2022: Recognised as one of the largest NBFCs in terms of asset size in India.
  • 2023: Achieved record fund mobilisation and disbursement to Indian Railways, enhancing its role in India’s infrastructure development drive.
  • Focuses on financing green, energy-efficient railway projects to reduce carbon footprint.
  • Supports Indian Railways’ mission to shift freight and passenger movement to more sustainable modes.
  • Emphasises responsible lending and ethical business practices in all financial operations.
  • Long-term commitment to support Indian Railways in achieving net-zero carbon emissions by 2030.
  • Conferred “Best PSU Issuer” by The Asset Triple A Country Awards for fundraising excellence.
  • Recognised among “Top 500 Companies” by Dun & Bradstreet for financial performance.
