Tata Motors has secured 87.81% acceptance for its €3.91 billion (around ₹42,561 crore) takeover offer for Italian commercial vehicle maker Iveco Group, crossing the minimum 80% threshold required for the deal. The provisional results, based on acceptances received by 26 October 2026, mean that the Tata Motors Iveco takeover is now moving towards its final stages.

The offer price was increased to €14.40 per share from €14.10 on 9 October. Tata Motors now has a potential holding of 89.42% of Iveco’s common share capital, according to the provisional results announced on Monday, 27 October. The Iveco takeover offer acceptance figure has crossed the revised threshold, bringing the Tata Motors Iveco deal closer to completion.

Tata Motors said the final results of the offer would be announced before the market opens on 29 October. Payment for shares tendered during the initial acceptance period is scheduled for 30 October, subject to the remaining conditions being met.

Iveco will also reopen the offer for five trading days from 2 November to 6 November, giving shareholders who have not yet tendered their shares another opportunity to participate. Payments for shares accepted during this additional window are scheduled for 13 November.

The minimum acceptance threshold was reduced from 95% to 80% following a resolution passed at Iveco’s extraordinary general meeting on 16 October. The provisional acceptance figure has crossed this revised requirement, although the final outcome remains subject to confirmation and fulfilment of the outstanding conditions.

Tata Motors agreed in July 2025 to acquire Iveco’s commercial vehicle business in a transaction initially valued at €3.8 billion. The deal excludes Iveco’s defence business, which is being separated from the group.

The acquisition is expected to strengthen Tata Motors’ presence in international commercial vehicle markets, particularly Europe, while expanding its truck and bus portfolio.

Petrus Advisers, which owns 3.8% of Iveco, was among those unhappy with the offer. The investor said the original price was too low and did not give shareholders enough credit for the benefits the two businesses could gain from joining forces.

Tata Motors later raised its bid to €14.40 per share, calling it the best and final offer. The acceptance period has now closed, with 87.81% of shareholders agreeing to the deal. The final results, due on 29 October, will confirm whether the remaining conditions have been met.
