RBI approves LIC to acquire up to 9.99% stake in HDFC Bank

The RBI approved LIC's application to acquire up to 9.99% of HDFC Bank on 19 August. LIC currently holds 4.11% and can add approximately 5.9 percentage points to its position.

India's largest insurer has been given the green light to significantly expand its footprint in the country's largest private sector bank.

The Reserve Bank of India (RBI) cleared Life Insurance Corporation of India's (LIC) application to acquire up to 9.99% of HDFC Bank's paid-up share capital or voting rights through a letter dated 19 August 2026, disclosed via an HDFC Bank regulatory filing.

LIC currently holds 4.11% of HDFC Bank's total share capital as of 14 August. The approval creates room for the insurer to add roughly 5.9 percentage points to its existing position, though the central bank's clearance does not obligate LIC to move immediately to the 9.99% ceiling.

Any additional stake purchase must comply with the Banking Regulation Act 1949, the RBI's Commercial Banks Acquisition and Holding of Shares or Voting Rights Directions 2025, the Foreign Exchange Management Act 1999 and SEBI regulations.

The approval can give LIC greater flexibility to increase its investment in HDFC Bank. LIC is already one of the biggest institutional investors in India. HDFC Bank, meanwhile, is one of the country's major private sector banks.

A higher stake would increase LIC's exposure to the banking and financial services sector. The approval also comes as institutional holdings continue to draw attention in India's banking industry.
