Bain Capital-backed RSB Transmissions has started preparations for its IPO and appointed Axis Capital, Jefferies and HSBC Securities as advisers. The company is considering a ₹3,000-4,000 crore issue at a potential valuation of around ₹20,000 crore.

Bain Capital-backed RSB Transmissions has started work on its proposed initial public offering (IPO) and has brought in investment banks to advise on the issue, according to people familiar with the matter.

The auto and industrial equipment maker is looking to raise around $311 million to $414 million, or roughly ₹3,000 crore to ₹4,000 crore, through a combination of fresh shares and an offer for sale. The proposed issue could also give Bain Capital an opportunity to sell part of its holding.

Axis Capital, Jefferies and HSBC Securities have been appointed as advisers at this stage. More investment banks could be added as the IPO process moves forward.

One of the persons familiar with the matter said RSB Transmissions is looking at a valuation of around $2 billion, or approximately ₹20,000 crore.

The proposed RSB Transmissions IPO is still being worked out, and the final issue size, valuation and mix of fresh shares and shares offered for sale have not yet been decided.

These details could change depending on market conditions and the company's plans, people familiar with the matter said.

The proposed listing comes at a time when companies from the auto components and industrial sectors are increasingly turning to the public markets.

Investor interest in these segments has remained strong, with several recent IPOs receiving a favourable response following their listings. RSB Transmissions could therefore look to tap the market while sentiment towards auto parts and industrial companies remains positive.

The company manufactures automotive, construction and off-highway equipment systems and aggregates and has operations in multiple global markets.

For Bain Capital, the proposed IPO could provide an opportunity to partially monetise its investment while also giving RSB Transmissions access to the public markets.
