NSE IPO draws strong institutional interest ahead of its expected September debut. 

With a 20-bank syndicate and roadshows spanning six global financial hubs, NSE's IPO is drawing rare institutional attention even before its price band has been finalised.

The National Stock Exchange of India (NSE) is moving closer to its long-awaited stock market debut, with the exchange now looking at a possible IPO launch in the second half of September 2026.

If the issue size reaches the widely reported level of around Rs 30,000 crore or more, the NSE IPO could overtake Hyundai Motor India's Rs 27,870 crore offering from 2024 to become India's biggest IPO.

The exchange has already filed its Draft Red Herring Prospectus (DRHP) with the Securities and Exchange Board of India (SEBI). NSE CEO Ashishkumar Chauhan has also confirmed that the exchange has received SEBI's no-objection certificate, taking the proposed listing another step forward. The final issue structure, pricing and launch date, however, are yet to be announced.

The proposed IPO will be an entirely Offer for Sale (OFS), with existing shareholders looking to sell up to 14.89 crore equity shares. The shares represent nearly 6% of NSE's paid-up equity capital.

Since there is no fresh issue, NSE itself will not receive proceeds from the offering. The money raised will go to the shareholders selling their stakes.

The final IPO price band has not yet been disclosed. Reports have suggested a potential price of around Rs 2,100-2,300 per share, which could put the exchange's valuation in the Rs 5.2 lakh crore-Rs 5.3 lakh crore range. These figures remain indicative until the company and selling shareholders finalise the offer price.

The potential size of the NSE issue is what makes the IPO particularly significant for India's primary market.

Hyundai Motor India's Rs 27,870 crore IPO currently holds the record for the country's largest public issue. NSE's proposed offering was estimated at around Rs 30,000 crore when the DRHP was filed, putting it ahead of Hyundai if the final issue size remains at that level.

The actual ranking will depend on the final offer price and the number of shares ultimately sold. The DRHP itself does not establish a fixed rupee value for the issue.

NSE is targeting the second half of September for the IPO, according to recent reports. Sources cited by CNBC-TV18 said the DRHP could receive final approval within the next two weeks, with the price band potentially being announced in early September.

That means the next major milestone for investors is SEBI's final clearance of the DRHP, followed by the announcement of the price band and IPO dates.

NSE's proposed listing would give public-market investors direct exposure to India's largest stock exchange by trading volumes and one of the world's biggest derivatives exchanges.

The exchange reported revenue from operations of Rs 16,601 crore and net profit of Rs 10,302 crore in FY26, according to its DRHP.

Its scale in India's equity and derivatives markets is also a major part of the investment case. The IPO will give investors an opportunity to assess the exchange as a listed financial-market infrastructure business rather than through private-market valuations.

The OFS includes a number of institutional shareholders. State Bank of India is among the largest sellers, while other shareholders include Canada Pension Plan Investment Board, Bank of Baroda, General Insurance Corporation of India, The New India Assurance Company and other institutional investors.

The DRHP also shows that NSE has appointed 20 book-running lead managers for the issue, including Kotak Mahindra Capital, JM Financial, Morgan Stanley, Citigroup, HSBC, JPMorgan, SBI Capital Markets and several other investment banks.

The final valuation will be one of the biggest factors to watch once the price band is announced. Investors will also need to assess NSE's financial performance, its dominance in derivatives, regulatory developments affecting exchanges and the broader market environment at the time of the issue.

For now, the reported Rs 2,100-Rs 2,300 price range and Rs 5.2 lakh crore-Rs 5.3 lakh crore valuation should be viewed as market estimates rather than confirmed IPO terms.

If the final issue value crosses Rs 27,870 crore, the NSE IPO will replace Hyundai Motor India as India's largest IPO. The exchange's September launch, therefore, could mark one of the biggest events in the country's primary market in 2026.
