Carlsberg India files updated IPO papers with SEBI for 8.64 crore shares through an OFS. Explore its financial results, offering structure, and expansion plans.
Carlsberg India has filed an updated draft red herring prospectus (UDRHP) with the Securities and Exchange Board of India (SEBI) for its proposed initial public offering (IPO). The issue will involve the sale of 8.64 crore equity shares by an existing shareholder, with no fresh issue of shares. The proposed offering could raise up to $700 million, according to an earlier Moneycontrol report.
The company had confidentially filed its draft papers with SEBI in July 2026, and the regulator cleared the documents earlier this month. South Asian Breweries Pte Ltd, a promoter entity owned by Carlsberg South Asia Pte Ltd, will sell the shares through the offer for sale (OFS).
OFS Structure, Brewery Capacity And Listing Details
The Carlsberg India IPO details show that the issue is entirely an OFS. Carlsberg India will not receive any proceeds from the issue. The money raised, after deducting offer-related expenses and taxes, will go to the selling shareholder.
The company operates seven owned breweries and works with contract manufacturers to produce and bottle its beer. According to its updated draft prospectus, its owned breweries had an installed annual capacity of 5,461 kilolitres as of March 2026. Its distribution network covers 17 states and four union territories, with an indirect presence in two additional markets.
Kotak Mahindra Capital Company, Citigroup Global Markets India and JPMorgan India have been appointed as merchant bankers for the IPO. The company's shares are proposed to be listed on the BSE and the National Stock Exchange (NSE).
