Pine Labs Block Deal: Mastercard Asia May Sell 4.3% Stake For ₹892.5 Crore
Mastercard Asia Pacific may sell its 4.3% stake in Pine Labs through a block deal

Mastercard Asia Pacific may sell nearly its entire 4.31% stake in Pine Labs through a ₹892.5-crore block deal. The shares have a floor price of ₹179.50, around 7.3% below Monday's closing price.

Mastercard Asia Pacific may sell up to 4.97 crore shares of fintech company Pine Labs through a block deal worth as much as ₹892.5 crore, according to reports.

The shares are being offered at a floor price of ₹179.50 apiece, which is around 7% below Pine Labs' previous closing price on the National Stock Exchange (NSE).

The proposed sale would cover almost the entire holding disclosed by Mastercard Asia Pacific at the end of June.

The transaction is structured as a 100% secondary sale, with Mastercard Asia Pacific listed as the selling shareholder.

This means Pine Labs will not receive any money from the block deal. The proceeds will instead go to Mastercard Asia Pacific after the shares are sold.

Citigroup Global Markets India Private Limited has been appointed as the sole placement agent for the transaction.

The block deal books opened on 21 September and are scheduled to close around 7:30 am IST on 22 September, although an earlier closure remains possible. The settlement is scheduled for 23 September.

Pine Labs shares ended Monday's session at ₹193.70 on the National Stock Exchange, up 0.86% from the previous close of ₹192.05.

During the session, the stock moved between ₹191.46 and ₹196.10.

The transaction document states that no pricing guidance will be provided before the shares are traded on the exchanges on 22 September.

Pine Labs made its stock market debut on 14 November 2025. The shares were listed at ₹242 on the NSE, giving investors a 9.5% premium over the initial public offering (IPO) issue price of ₹221.

Pine Labs provides technology platforms for merchants, consumer brands, enterprises and financial institutions.

Its business covers digital payments, card issuance and other financial services. The company operates across India and several international markets, including Malaysia, the UAE, Singapore, Australia, the US and Africa.
