HDFC Bank shares rise 2% as CEO Jagdishan rules out a fresh term.

HDFC Bank Managing Director and CEO Sashidhar Jagdishan has decided not to seek another term at the helm of the country's largest private lender, with his current tenure set to end on 26 October 2026, a development that sent HDFC Bank shares up more than 2% on Monday. Read ahead to know more.

In a weekend exchange filing, the bank said its board had attempted to persuade Jagdishan to continue but that he remained firm on his decision.

Following the announcement, HDFC Bank share price on 31 August rose as much as 2% to a day's high of ₹739.40 on the Bombay Stock Exchange (BSE), as several analysts retained bullish calls on the stock even as the succession question came into focus.

With Jagdishan's exit confirmed, the bank's board has moved to speed up the process of identifying his successor, working within the timeframe stipulated by the regulator. Among the internal candidates being considered is Deputy Managing Director Kaizad Bharucha, who has been on HDFC Bank's board since 2014 and was elevated to Deputy MD in April 2023.

However, the Reserve Bank of India's 15-year cap on the tenure of a whole-time director at a private bank could pose a constraint, since Bharucha's current board term extends only until 2029.

According to reports, the bank is also weighing external candidates alongside internal contenders as it works towards completing the appointment before Jagdishan's departure.

Jagdishan, who joined HDFC Bank nearly three decades ago, took over as MD and CEO on 27 October 2020, succeeding Aditya Puri, who had led the bank for more than two decades.

His first three-year term began that same day, and he was reappointed for a second term starting 27 October 2023, which will now conclude on 26 October 2026.

The leadership transition comes after a period of heightened scrutiny at the lender. Former part-time chairman Atanu Chakraborty resigned in March, citing concerns over certain practices at the bank, though a subsequent legal review commissioned by HDFC Bank found no basis for the allegations.

In July, the bank's board imposed a ₹1 lakh penalty and issued warning letters to Jagdishan and two other senior executives following an internal review of arrangements with the Maharashtra State Road Development Corporation, with the bank describing the conduct as an instance of business overreach while finding no evidence of mala fide action or personal enrichment.

HDFC Bank shares have fallen 26.79% year-to-date and are down 23.75% over the past year, according to National Stock Exchange (NSE) data, and have also declined nearly 8.23% over the past five years, as the bank continues to face investor concerns over its post-merger performance following the 2023 merger with HDFC Ltd.

For the June quarter of FY27, the bank reported standalone net profit of ₹19,059.72 crore, up 4.98% from ₹18,155.21 crore a year earlier, even as total income declined 7.08% year-on-year to ₹92,184.38 crore.

As on 30 June 2026, HDFC Bank’s distribution network included 9,694 branches and 20,958 ATMs across 4,175 cities and towns. Analysts said that going forward, succession uncertainty and post-merger strategy will remain areas of focus for investors.
