NDR InvIT Trust Plans ₹750-Crore IPO, Files Draft Papers With SEBI

NDR InvIT Trust has filed draft papers with SEBI for a ₹750-crore IPO to convert the warehousing-focused trust into a public InvIT. The proposed issue includes a ₹450-crore fresh issue and a ₹300-crore OFS.
NDR InvIT Trust has filed draft offer documents with the Securities and Exchange Board of India (SEBI) for a proposed public issue that could raise up to ₹750 crore.
The warehousing-focused Infrastructure Investment Trust (InvIT), sponsored by NDR Warehousing Private Limited, is seeking to convert into a publicly listed infrastructure investment trust through the proposed offering.
The initial public offering (IPO) will comprise a fresh issue of units worth up to ₹450 crore and an offer for sale (OFS) of units worth up to ₹300 crore by Investcorp India Warehousing IFSC Trust.
How The Company Plans To Use Funds?
A sizeable chunk of the fresh issue proceeds from the NDR InvIT Trust IPO will go towards expanding the Trust's asset base.
NDR InvIT Trust plans to use up to ₹297.6 crore to acquire the entire interest in NDR Advanced Storage Private Limited. Another ₹84.2 crore has been earmarked for acquiring 100% interest in NDR Storewell Warehousing LLP.
The balance of the fresh issue proceeds will be used for general corporate purposes.
Trust Manages Nearly 23 Million Sq Ft Of Area
NDR InvIT Trust had a total leasable area of 22.97 million square feet as of June 2026, according to the draft offer document. Of this, around 21.58 million square feet had been developed.
Its warehousing and industrial asset portfolio is spread across several major logistics markets, including Ahmedabad, Bengaluru, Chennai, Hyderabad, Kolkata, Mumbai, Delhi-NCR and Pune.
The proposed acquisitions are expected to add to the Trust's pool of income-generating assets and broaden its presence across the warehousing market.

The proposed IPO will allow NDR InvIT Trust to move towards a public-market structure while raising fresh capital for acquisitions and expansion of its warehousing portfolio.
