Delhi-based non-banking financial company (NBFC) IFL Finance has received approval from the Securities and Exchange Board of India (SEBI) to proceed with its initial public offering (IPO).

The proposed issue comprises 3.85 crore equity shares, including a fresh issue of 3.55 crore shares and an offer-for-sale (OFS) of 30 lakh shares by the promoters. SEBI issued its observations on the company's draft offer document on 5 November.

With the observations in place, IFL Finance has one year to file its red herring prospectus (RHP) and move ahead with its IPO. The company had filed its draft red herring prospectus (DRHP) with the market regulator in July 2026.

IFL Finance may also raise funds through a pre-IPO placement of up to 1.15 crore equity shares. This placement will form part of the fresh issue. If the company goes ahead with it, the number of shares offered in the fresh issue will reduce accordingly.

The company plans to use ₹150 crore from the net proceeds of the fresh issue, excluding offer-related expenses, to strengthen its Tier-I capital base.

The funds will help the company meet future capital requirements. Aryaman Financial Services has been appointed as the merchant banker for the IFL Finance IPO.

IFL Finance is a non-deposit-taking NBFC. It offers secured retail loans. Gold loans form its primary business focus.

It operated 88 branches across four states and one Union Territory as of March 2026. Its network included 31 branches in the National Capital Territory of Delhi and 33 in Rajasthan.
