Groww Block Deal: Ribbit Capital Plans ₹1,914-Crore Share Sale
Ribbit Capital plans to sell 1.6% stake in Groww parent Billionbrains Garage Ventures for up to ₹1,914 crore.

Ribbit Capital is planning to sell up to 9.82 crore shares in Groww's parent, Billionbrains Garage Ventures, through a block deal. The stake sale could be worth ₹1,914 crore, with the shares offered at a floor price of ₹195 apiece.

Ribbit Capital is set to pare its holding in Groww's parent, Billionbrains Garage Ventures Ltd., through a block deal. The transaction could fetch the early investor as much as ₹1,914 crore.

The investor is offering up to 9.82 crore shares in the company, which works out to roughly 1.6% of its total equity. The shares have been offered at a floor price of ₹195 apiece.

The floor price is about 3.95% below Groww's closing price of ₹203.01 on the National Stock Exchange (NSE) on 25 August. The final size could increase if the upsize option is used.

The proposed sale is entirely a secondary transaction. Groww will not receive any money from the share sale.

The shares are being offered by three entities linked to Ribbit Capital: Ribbit Capital V LP, Ribbit Cayman GW Holdings V Ltd. and GW-E Ribbit Opportunity V LLC.

J.P. Morgan India Pvt. Ltd. has been appointed as the sole placement agent for the transaction.

The deal includes a 30-day lock-up period. Buyers will also have to pay a brokerage commission of 25 basis points, apart from the usual market charges.

Ribbit was among Groww's early institutional investors. In 2019, it led a ₹154-crore Series B funding round in the company. Existing investors Sequoia Capital India and Y Combinator also participated in that round.

The proposed Ribbit sale comes after several transactions involving Groww's early backers.

In May, up to 26.84 crore shares, or around 4.3% of Groww's equity, were put up for sale through on-market transactions. The base deal was valued at around ₹4,750 crore, with a floor price of ₹177 per share.

The prospect of a large supply of shares from early investors had weighed on Groww's stock at the time. Reports had indicated that investors such as Peak XV Partners and Y Combinator were looking to sell shares after their respective lock-in periods.

Y Combinator also sold shares last week through its affiliate YC Holdings II LLC. It sold 7.47 crore Groww shares at ₹192.16 apiece, taking the transaction value to ₹1,435.2 crore.

According to reports, the latest sale took Y Combinator's total proceeds from Groww to around ₹4,132 crore. The accelerator continued to hold an 8.6% stake in the company.

Ribbit's latest stake sale comes several years after it backed Groww when the company was still primarily a mutual fund investment platform.

In 2019, Groww offered more than 3,000 mutual fund options and had around 25 lakh registered users. More than two-thirds of them were first-time investors.

The platform has since expanded into a broader retail investment business.

Groww's parent, Billionbrains Garage Ventures, went public in November 2025. The company raised ₹6,632.3 crore through its initial public offering (IPO).

Its shares were issued at ₹100 apiece and listed at ₹114, giving investors a 14% gain on listing.
