BPCL Approves ₹5,000-Crore NCD Fundraise In Up To 10 Tranches

BPCL’s board has approved a plan to raise up to ₹5,000 crore through NCDs in as many as 10 tranches over the next year. The fundraising plan comes after the state-run oil company reported a ₹3,962-crore net loss for the June quarter.
Bharat Petroleum Corporation Ltd. (BPCL) has approved a plan to raise up to ₹5,000 crore through the issue of non-convertible debentures (NCDs).
The company said in an exchange filing on Tuesday that its board approved the fundraising at a meeting held on 18 August 2026. The NCDs may be issued in one or more series, with the total number of tranches capped at 10.
The company can issue secured or unsecured redeemable NCDs under the plan. The fundraising will be carried out within one year.
BPCL To Decide Details At Each Issue
BPCL said the details of the allotment and other terms will be announced to the stock exchanges when each series or tranche is issued.
NCDs are debt instruments through which companies borrow money from investors for a fixed period. Investors receive interest at an agreed rate during the tenure. Unlike convertible debentures, NCDs cannot be converted into the company's equity shares.
BPCL Reports Q1 Net Loss
The fundraising plan comes after BPCL reported a net loss of ₹3,962 crore for the first quarter of FY 2026-27. The company had reported a profit of ₹3,919 crore in the previous quarter.
BPCL's revenue rose 18.2% year-on-year to ₹1.51 lakh crore during the June quarter, compared with ₹1.91 lakh crore in the previous quarter.
The company's earnings before interest, taxes, depreciation and amortisation (EBITDA) stood at a loss of ₹4,077 crore. This compared with an EBITDA loss of ₹10,061 crore in the preceding quarter.
BPCL Shares End Lower
Bharat Petroleum Corporation shares ended at ₹310.30 on 18 August. The stock declined 2.01% during the session.
The fall was steeper than the 0.55% decline recorded by the NSE Nifty 50 on the same day.
