VRL Logistics shareholders approved a ₹280 crore share buyback of up to 87.5 lakh shares at ₹320 per share. The record date is yet to be announced.

VRL Logistics Limited has secured shareholder approval to buy back up to 87.5 lakh fully paid-up equity shares at ₹320 per share. The offer is capped at ₹280 crore and represents 5% of the company’s paid-up equity share capital.

The special resolution was approved through a postal ballot that concluded on 3 October 2026. The company submitted the certified resolution to the stock exchanges on 8 October. The VRL stock will remain in focus as investors await the record date and further details of the buyback process.

The VRL Logistics share price closed at ₹284.10 on the National Stock Exchange (NSE) on 8 October 2026.

The company will run the buyback process through the tender offer route on a proportionate basis. The maximum offer size of ₹280 crore is roughly equal to 24.51% of its paid-up share capital and free reserves (based on audited standalone financial statements as of 31 March 2026).

The company plans to fund the transaction through free reserves, surplus funds, cash balances or internal accruals. It has stated that borrowed funds from banks and financial institutions will not be used.

Under the approved resolution, at least 15% of the shares proposed to be bought back, or the number of shares eligible based on small shareholders’ holdings, whichever is higher, will be reserved for the small shareholder category.

Promoters and members of the promoter group have expressed their intention not to participate in the buyback. Their holdings will therefore not be considered when calculating the entitlement ratio for other eligible shareholders.

The record date has not yet been specified in the filing. The Board or its buyback committee will determine the date to identify eligible shareholders. The approved resolution also permits the Board or committee to increase the buyback price and reduce the number of shares, provided the overall offer size does not change.
