TVS SCS Gets NCLT Approval For Merger Of Five Companies
TVS SCS gets final NCLT nod for SPC International amalgamation.

TVS Supply Chain Solutions has received NCLT Bengaluru’s sanction for the amalgamation of SPC International and four other companies with the listed logistics firm.

TVS Supply Chain Solutions (TVS SCS) has received the National Company Law Tribunal (NCLT) Bengaluru Bench’s approval for the amalgamation of SPC International (India) and four other companies with the listed logistics company.

The order, issued on 30 September 2026, completes the pending NCLT approval relating to SPC International, whose registered office is in Karnataka.

On 1 October, the TVS Supply Chain Solutions share price closed at ₹128.42 on the National Stock Exchange (NSE).

The Bengaluru Bench sanctioned the Scheme of Amalgamation insofar as it relates to SPC International (India) Private Limited, the fourth transferor company.

The broader scheme covers Mahogany Logistics Services Private Limited, TVS SCS Global Freight Solutions Limited, White Data Systems India Private Limited, SPC International (India) Private Limited and Flexol Packaging (India) Limited as transferor companies, with TVS Supply Chain Solutions as the transferee company.

The Chennai Bench had earlier sanctioned the scheme on 7 July 2026. With both NCLT approvals now in place, the scheme will become effective after certified copies of the orders are filed with the respective jurisdictional Registrar of Companies.

SPC International will be transferred to and amalgamated with TVS Supply Chain Solutions under the approved scheme. The scheme provides that SPC International will be dissolved without being wound up once it becomes effective.

SPC International is a wholly owned subsidiary of TVS Supply Chain Solutions. Under the scheme, the shares held by the transferee company and its nominees in the wholly owned transferor companies will be cancelled and extinguished from the appointed date.

The scheme provides for employees of the transferor companies to become employees of the transferee company upon the scheme becoming operative.

Their service is to be treated as continuous, with terms and conditions not less favourable than those applicable immediately before the transfer.

TVS Supply Chain Solutions provides integrated supply chain services to businesses across multiple industries and operates in India and international markets. It also provides services covering areas such as transportation, warehousing, sourcing and supply chain management.
