Arisinfra Solutions Approves ₹60 Crore Acquisition And ₹20 Crore NCD Guarantee
Arisinfra Solutions approves a ₹60 crore acquisition of a 16% Buildmex-Infra stake alongside a corporate guarantee of up to ₹20 crore for LTPL's proposed NCDs.

Arisinfra Solutions will acquire a 16% stake in Buildmex-Infra for ₹60 crore, subject to closing adjustments. The company also approved a corporate guarantee of ₹20 crore for NCDs.

In a regulatory filing with the stock exchanges, Arisinfra Solutions Limited said its Board approved the acquisition of 16,000 equity shares of Buildmex-Infra Private Limited (BIPL), representing 16% of BIPL’s equity share capital. The transaction is valued at ₹60 crore, subject to closing adjustments. The acquisition is expected to be completed on or before 30 September 2026.

Separately, Arisinfra Solutions has approved a corporate guarantee of up to ₹20 crore for non-convertible debentures (NCDs) proposed to be issued by Lionheart Trading Private Limited (LTPL). Lionheart Trading Private Limited was formerly known as Arisinfra Trading Private Limited and is a wholly owned and material subsidiary of Arisinfra Solutions.

At 12:05 pm on Monday, Arisinfra Solutions shares were trading at ₹134.46 on the National Stock Exchange (NSE), down ₹5.83, or 4.16%. The stock opened at ₹140.22, down from the previous close of ₹140.29. It touched a high of ₹140.22 and a low of ₹134.07 during the session.

The company's Board of Directors approved the Arisinfra acquisition at its meeting on 28 September 2026. The Buildmex-Infra stake is being acquired from existing shareholder Balavignesh Subramani.

Arisinfra Solutions stated that the proposed transaction does not constitute a related party transaction because the seller is not a related party of the company.

Arisinfra Solutions will acquire the Buildmex-Infra stake entirely through cash consideration. No government or regulatory approval is required to complete the transaction.

Arisinfra Solutions identified Buildmex-Infra as a company engaged in the trading and supply of infrastructure and construction materials. The company said the transaction will increase its ownership and economic interest in the material subsidiary and allow it to participate more significantly in its future growth opportunities.

Buildmex-Infra was incorporated on 26 July 2021 and is engaged in trading, procurement, supply and distribution of raw materials required for infrastructure, buildings and construction.

Its turnover increased from ₹17.93 crore in 2023-24 to ₹70.36 crore in 2024-25 and further to ₹179.03 crore in 2025-26. This represents an almost tenfold increase in turnover over the two-year period, based on the disclosed figures.

The NCDs will be issued in favour of Texterity Private Limited. Arisinfra Solutions stated that its promoters and promoter group have no interest in the transaction and that the guarantee is being provided on an arm's-length basis.

The guarantee will constitute a contingent liability for Arisinfra Solutions. The company stated that, at present, the guarantee has no impact on Arisinfra Solutions because it has been provided to a material wholly owned subsidiary within the consolidated group.

The company has provided the corporate guarantee on an arm’s-length basis, in accordance with the applicable provisions of the Companies Act, 2013 and the Securities and Exchange Board of India (SEBI) (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The transaction will be governed by the term sheet executed between the parties and the definitive agreements.
