SEBI Extends IPO Relief Allowing 50% Change In Fresh Issue Size Until March 31, 2027

The extension allows eligible companies to resize their fundraising plans without restarting the draft-filing process. Lead managers must justify the revision and inform investors, while the main purpose of the IPO must remain unchanged.
The Securities and Exchange Board of India (SEBI) has extended IPO issue-size relief until March 31, 2027, allowing eligible companies to increase or reduce their fresh issue component by up to 50% without filing a fresh draft offer document. The relaxation will apply to IPOs opening on or before that date.
The regulator communicated the extension to the Association of Investment Bankers of India (AIBI) on October 12, with the development reported on Tuesday, October 13. The earlier window ended on September 30, 2026.
The decision follows requests from AIBI over difficulties faced by issuers and merchant bankers when changing fundraising plans during the IPO process. It allows companies to revise the amount they raise without restarting the draft-filing process, provided the main objective of the issue remains unchanged. Lead managers must justify the change, complete due diligence and issue a public addendum informing investors of the revised size.
SEBI IPO Issue Size Rules
The relief was first introduced in April amid market volatility linked to the West Asia conflict. The latest extension keeps the flexibility available for eligible IPOs opening through the end of March 2027.
Under the usual rules, a change of more than 20% in the fresh issue size requires companies to file fresh draft offer documents. The relaxation raises that revision limit to 50%.
The fresh issue component brings capital into the company through newly issued shares. It differs from an offer for sale, where existing shareholders sell their holdings and receive the proceeds.
The extension allows issuers to adjust fundraising amounts as business requirements and market conditions evolve. AIBI said it would reduce procedural hurdles and improve efficiency in the capital-raising process.
IPO Size Changes Must Be Disclosed To Investors
The revision does not remove the responsibilities of book-running lead managers. They must ensure that updated offer documents meet applicable regulations and that the change in fresh issue size is appropriately justified.
The main objective of the issue must remain unchanged. Investors must also be informed through a public addendum, making the revised fundraising amount available before the offer proceeds.
The March 31 deadline applies to the opening of the IPO. Eligible issuers seeking to use the relaxation must therefore open their offers on or before March 31, 2027.
