SCHOTT Poonawalla IPO: SCHOTT Pharma And TPG-Backed Pharma Packaging Firm Targets $400 Million India Listing

SCHOTT Poonawalla has begun preliminary preparations for an Indian IPO targeting around $400 million. Backed by SCHOTT Pharma and TPG Growth, the pharmaceutical packaging company is considering a combination of fresh shares and an offer for sale.
SCHOTT Poonawalla has begun preliminary work on a potential Indian IPO targeting around $400 million. The Mumbai-based pharmaceutical packaging company is backed by Germany’s SCHOTT Pharma and private equity firm TPG Growth.
Investment banks have been invited to pitch for the mandate, with discussions likely to begin next week. Nothing is final yet. The issue size and valuation remain subject to market conditions.
The offering is expected to include a fresh issue and an offer for sale (OFS). Such a structure would bring capital into the company while enabling existing shareholders to pare part of their holdings.
Ownership Structure And Potential Stake Sale
SCHOTT Pharma holds a 50% stake in the business, while TPG Growth owns 35%. Serum Institute of India, the vaccine manufacturer led by Adar Poonawalla, remains a minority investor and could use the IPO to dilute part of its holding.
TPG's entry followed a binding agreement announced by SCHOTT Pharma on 6 May 2025 to sell a 35% stake in the joint venture to the private equity firm. Novo Holdings joined TPG Growth as a co-investor.
Product Portfolio And Market Position
SCHOTT Poonawalla supplies primary packaging solutions to pharmaceutical and biotechnology companies. Its products include:
- Cartridges for auto-injector pens.
- Prefillable syringes for biologic medicines.
- Vials and ampoules.
- Regulatory support and contract development and manufacturing services for pharmaceutical and biotechnology businesses.
SCHOTT Poonawalla has an estimated 50%-plus share of India’s injectable packaging market. Its position makes the company a significant contributor to the pharmaceutical supply chain.
